What’s really happening at CTCI—the facts
1. It’s important to know and understand that CTCI members elect individuals from its membership to sit on its Board of Directors to operate the Club in the interest of the membership--this is their fiduciary duty. The Board of Directors appoints/elects officers—President, Vice President, Treasurer, and Secretary—to perform various administrative duties to execute CTCI operations. The Officers are subordinate to the Board—i.e., they are to take direction from the Board, who are elected by the members. Per Wyoming law (where CTCI is a registered nonprofit corporation), CTCI Officers can be dismissed by majority vote of the Board of Directors at any time with or without cause.
2. Bob Bly, the 2025 President of CTCI, unilaterally announced at the December 12, 2025 Board meeting that the first meeting of the 2026 Board will be at 11:00AM on Monday, January 5, 2026; he so stated without the courtesy of determining the availability of all 2026 Board Directors.
3. Beginning on December 14, 2025, Bly and all 2026 Board Directors were advised repeatedly several times that a majority of the 2026 Board Directors—five Board Directors--would not be available and to please change the meeting date and time to non-working hours (i.e., weekend or evening) to accommodate all Board Directors.
4. Bly and the minority Board Directors ignored all of these requests and without the mandatory quorum, held an illegitimate meeting where only a minority of the 2026 Board Directors (i.e., four Directors) were present.
5. Without a quorum of the 2026 Board, Bly and the minority Board elected/appointed four officers—President, Vice President, Treasurer, and Secretary—and other positions--Director Emeritus. These appointments are illegitimate and in violation of Wyoming law and CTCI Bylaws.
6. Upon learning if this illegitimate act, which violated Wyoming law, CTCI Bylaws, and the trust of the CTCI membership, the five majority 2026 Board members obtained legal counsel that sent to Bly and the minority 2026 Board Directors a Cease and Desist letter.
7. In retaliation to this Cease and Desist letter, Bly and the minority Board removed the majority of five Board Directors from the Board, revoked their CTCI membership, and sent them all refund checks for their 2026 dues. This action was illegitimate, as it was performed without authority and in violation of Wyoming law.
8. Because CTCI monetary assets alone exceed $1.3M, the majority Board filed a complaint in federal court to restrain Bly and the minority Board from operating CTCI and spending CTCI funds. This was done because of the dollar amount of funds at risk and because federal courts act promptly (e.g., two weeks) relative to district courts which often require many months to respond to a complaint.
9. Regrettably, the federal court determined that irreparable harm could not be demonstrated. However, the federal court did state that Bly and the minority Board “…acted without a quorum, failed to observe other explicit procedures…breach of fiduciary duty…actions beyond their authority…expelling members”. The Court also wrote that this demonstrates a likelihood of success based on its merits.
10. The majority of five 2026 Board Directors—Dave Berkey, Jim McLaughlin, Tony Seibert, Trae Wood, and Ross Woodman--are continuing to work with legal counsel to rectify the wrong doing of the minority Board – Bob Bly, Marsha Hash, John Knapp, and Bill Jurkonie.
